What is the Isle de France Club?

The Isle de France Club is a luxury Residence Club located on a private ten-acre resort enclave beachfront at Baie des Flamands on the island of St-Barth in the French West Indies. The Isle de France Club is designed for the exclusive use of its Members and their guests. Offering one and two bedroom Club villas, most with kitchens and private pools, Isle de France Club Members enjoy the amenities and services offered by the internationally renowned Isle de France Hotel including a beach Club, beachfront pool, beachfront restaurant, room service, world-class spa, exercise room, tennis court and inter-island transportation.

What is the FOLIO Collection?

The Isle de France Club is part of the FOLIO Collection of luxury Residence Clubs. The FOLIO Collection also currently includes the Pond Bay Club under development on the island of St. John in the United States Virgin Islands and will be expanding to other European and North American locations in the near future. An Isle de France Club Member has the right to reserve lodging at any of the other FOLIO Collection properties subject to the FOLIO Collection Reservations Policies and Procedures.

What are the primary advantages of Membership in the Isle de France Club?

Membership at the Isle de France Club provides for the ownership of a beneficial interest in an U.S. Trust which has a 75 year lease to use the Isle de France Club's luxury vacation villas with five-star amenities and services while significantly reducing the financial burden of that ownership interest in a multi-million dollar villa. Membership provides for flexible and generous use of the Club's luxury residences along with use of other FOLIO Collection properties.

Are there other Residence Clubs at prestigious resort locations?

Yes. Residence Clubs are the fastest-growing segment of the luxury vacation home industry. Affluent buyers at premier destinations such as St. John (USVI), London, Tuscany, Aspen, mid-town Manhattan, Deer Valley, Scottsdale, Napa and Rancho Santa Fe have enthusiastically embraced the ownership concept offered by Residence Clubs.

Is the Isle de France Club a typical timeshare?

No. The Isle de France Club is controlled and enjoyed by its Members. Unlike a typical timeshare where ownership involves fixed week usage each year in a specific unit, Isle de France Club Members enjoy the opportunity to request use any time of the year while preserving a fixed period (one or two weeks per year depending on Membership Type) for the Member's exclusive right to use.

How many Memberships will be sold?

The Isle de France Club Documents strictly limit the number of Memberships to ten Members per Club villa.

How are rights conveyed to the Isle de France Club Member?

Each Membership will receive a beneficial interest in an U.S. Trust which has a 75 year lease granting rights to use the Club villas and related facilities.

Can a Membership be resold?

Yes. A Member, subject to the Club Documents, can sell or transfer their Membership, at any time, through the Club Sales Office or through their local real estate broker.

As a Member, how often can I stay at the Club?

Each Member has the right to use a Club residence the same winter week(s) each year ("Primary Vacation"). Members may then reserve up to an additional 28 days of Planned Vacations at the Isle de France Club or at any of the FOLIO Collection Clubs.

Do Members have guest privileges?

Yes. Members may invite guests to accompany them during visits to the Isle de France Club or any of the FOLIO Collection Clubs or may send guests unaccompanied. Guests receive the same privileges and services as Members when using any of the Clubs.

In those limited situations when demand for Club villa usage exceeds availability, how are reservation requests confirmed?

Isle de France Club's reservations system has been designed to allocate reservations equitably when the demand for Club villa usage exceeds supply. During those excess demand periods, a rotating priority system ensures Members have equal access to peak-period times over the years.

When will the Isle de France Club be available for occupancy?

The First Phase of the Isle de France Club is sold out with Second Phase Memberships now available. First Phase occupancy was first available for Member use November 2004. Second Phase occupancy is scheduled for November, 2005.

Who manages the operations of the Isle de France Club?

The Isle De France Club is managed by a management company, headed by Nicholas Crawley, one of Europe's most renowned hoteliers. Mr. Crawley and his partner, Charles Vere Nicoll, developed the London-based Scotsman Group with five-star hotels in Paris, Edinburgh and Leeds in England. Crawley and Vere Nicoll were also founders of the Regal Hotel group of over 120 hotels throughout Europe.

Can Members rent their Primary Vacations and/or Planned Vacations?

Members may rent their unused vacation periods through the Isle de France Hotel. Sixty percent of net revenues collected from rented vacation periods will be paid to the respective Member who elected to make their unused vacation periods available for rent. The Isle de France Hotel will receive the remaining forty percent.

Who controls the affairs of the Isle de France Club?

Upon the sale of two-thirds of Memberships and subject to the Club Documents, a Member-elected Board of Directors will control the affairs of the Isle de France Club including the establishment of the annual Club operating budget.

What is provided with the Annual Owners Fees?

In order to provide and maintain the Club residences in superior condition and to operate and maintain the Club's five-star amenities and services, each Member has the obligation to pay a share of the costs and expenses associated with these operations and maintenance. Included in these Annual Owners Fees are funds for staff salaries, supplies, maintenance, insurance, utilities, transportation services, housekeeping services, Internet, telephone services, window washing, landscaping and the other costs of the Club including generous funds for reserves for Club facilities replacements.

Can a corporation, partnership, trust of LLC own a Membership?

Yes. Any legal ownership entity shall identify annually one person to be the Designated Member who will have the authority to communicate with the Club on any Club related matter including all of the rights, privileges and responsibilities of Club Membership.

What is Pond Bay?

Pond Bay is the sister private residence club of St. Barth's highly acclaimed Isle de France. Pond Bay is the latest addition to the expanding collection of luxury Private Residence Clubs throughout the world. Pond Bay is located on a secluded 15+ acre beachfront private enclave on the island of St. John in the United States Virgin Island. A total of 50 three-bedroom villas and cottages will be offered ranging from 2,200 square feet to 4,300 square feet with luxury finishes, furnishing and accessories. Amenities include a beach club and pool, clubhouse, athletic club, restaurant, fitness center and ESPA destination spa.

What are the primary advantages of Ownership in the Pond Bay?

Is Pond Bay a timeshare development?

No. Pond Bay is owned and enjoyed much like a private, equity golf country club. Owners have access to all Villas within their ownership category with the right to use anytime, subject to the Reservations Policies and Procedures.

Can an Ownership be resold?

Yes. Like any other form of real estate, an Owner can sell or transfer their Ownership through the Pond Bay Sales Office or through affiliated local real estate brokers.

As an Owner, how often can I stay at Pond Bay?

Each Owner has the right to use a Villa in their ownership category the same vacation period each year. Owners then may reserve up to 21 days of Planned Vacations along with significant additional Space Available Vacations opportunities. Subject to the Reservations Policies and Procedures, Owners can reserve more than one Villa
at a time or extend their vacation to 14 days at a time.

Do Owners have guest privileges?

Yes. Owners may invite guests on an accompanied or unaccompanied basis subject to the Reservations Policies and Procedures.

When will Pond Bay be ready for occupancy?

Pond Bay's First Phase is scheduled for completion and occupancy during the 2008–09 winter season.

Can an Owner leave their personal belongings at Pond Bay?

Yes. Pond Bay provides a secure, climate controlled area for Owners to storage their clothing and personal items.

Will the Owners always stay in the same Villa?

No. To provide more availability and flexibility, Owners have equal access to all Villas in their ownership category. The Villas are similarly furnished and accessorized. Owners may request a specific villa and this request will be granted when possible according to the Reservations Policies and Procedures.

What is provided with the Annual Owners Fees?

The Annual Ownership Fees cover the typical costs of maintenance, professional management and operations of all Pond Bay facilities and amenities. These fees provide funds for staff salaries, supplies, interior maintenance, exterior maintenance, landscaping, window washing, trash removal, legal and accounting fees, fuel, utilities, insurance, cable TV, telephone service, internet service and funds for replacement of Villa furniture and finishes.

Who controls the affairs of Pond Bay?

In accordance with the Owner Documents, an Owner-elected Board of Directors will control the affairs of Pond Bay including the establishment of the annual operating budget.

Can a corporation, partnership or LLC own an Ownership?

Yes. A corporation, partnership or LLC can own an Ownership. The legal entity that owns the Ownership identifies annually one person to be the Owner Designee with all the rights and privileges of Ownership.

How is title conveyed to the Owner?

Each Ownership will receive a deed at closing which will convey a fee simple title to a fraction of a Villa and to an undivided interest in common areas. Each Owner will also receive an ALTA title insurance policy on their ownership interest issued by a nationally recognized title insurance company.
